# EvoBiosys License (Addendum to AMPL 1.0) **Version:** 1.0-draft **Steward:** Evobiosys **Base License:** Adapted Modular Public License 1.0 (AMPL 1.0) — see `LICENSE`. This addendum supplements AMPL 1.0 for organizations that wish to use this software **without** complying with AMPL 1.0's copyleft and parallel-network provisions — for example, to modify the software and run it as part of a proprietary service without open-sourcing those modifications. **Every user is under a license.** There is no public-domain or unconditional-use tier. Small users comply with AMPL 1.0 (free, with copyleft obligations); larger commercial users obtain a separate commercial license from the Steward. The threshold that separates the two is defined in Section 2. ## 1. Who This Applies To This addendum defines a **Revenue Threshold**. If your organization's combined annual revenue — including all affiliates, subsidiaries, and parent entities — is **below the Revenue Threshold**, you may continue to use this software under AMPL 1.0 alone; you do **not** need a commercial license. If your combined annual revenue is **at or above the Revenue Threshold**, you must either: (a) comply fully with AMPL 1.0 — including sharing source for all modifications and any parallel-network extensions — or (b) obtain a commercial license from the Steward. This structure is intentionally low-friction: small users, students, researchers, and non-profits have no paperwork. The threshold kicks in only when the software is part of a substantial commercial operation. ## 2. Revenue Threshold The Revenue Threshold is denominated in euros (EUR) and is indexed to consumer price inflation. - **Starting Value:** **EUR 10,000** per calendar year, as of **2026-01-01**. This is the default threshold that applies unless a different value has been agreed with the Steward. - **Case-by-Case Adjustment:** The Starting Value is the default, not a hard rule. The Steward may agree in writing on a different threshold for a particular organization based on sector, mission alignment, and stage — e.g. non-profits, research groups, small start-ups, and aligned partners typically see higher thresholds than well-funded commercial users. To discuss an alternative threshold, write to the Steward (Evobiosys); see the project website for current contact details. - **Base Index:** Statistik Austria Verbraucherpreisindex (Vienna CPI), January 2026 reading. - **Adjustment Cadence:** The Steward publishes a revised Revenue Threshold on the project website at least every 3 years and no more than every 5 years, re-scaled so the Starting Value's real-terms purchasing power remains unchanged relative to the Base Index. Case-by-case thresholds track the same cadence from the date of their agreement. - **Rounding:** Adjusted values round to the nearest EUR 100. - **Fallback Index:** If Vienna CPI is discontinued, the Steward designates a successor index that tracks euro-area consumer inflation in a comparable way. If none is designated within 12 months of discontinuation, the European Central Bank's Harmonised Index of Consumer Prices (HICP) applies automatically. The current Starting Value is the one most recently published. If none has been published, EUR 10,000 (2026 base) applies. ## 3. "Combined Annual Revenue" "Combined annual revenue" means the sum of revenue reported or reasonably estimated for your organization and every affiliate, subsidiary, and parent entity, on a consolidated basis, for the most recently completed fiscal year. Affiliate relationships are determined by more than 50% ownership, voting control, or contractual control. This affiliate-inclusive wording is adapted from the CockroachDB Community License, with the threshold reduced and denominated in EUR. ## 4. Commercial License Terms Commercial licenses are offered by the Steward on non-discriminatory terms. **Entry price: TBD — case-by-case. Please get in touch.** Pricing, term length, and audit provisions are negotiated directly with the Steward. A commercial license replaces AMPL 1.0's obligations to share source for modifications and any parallel-network extensions; it does not grant trademark rights or transfer copyright. ## 5. Good-Faith Assumption The Steward assumes good faith. Organizations that cross the threshold mid-year have until the end of that calendar year to either comply with AMPL 1.0 or obtain a commercial license. There is no retroactive liability for periods in which the threshold was not met. ## 6. No Other Changes All other provisions of AMPL 1.0 — patent grants, disclaimer of warranty, limitation of liability, steward of future versions, parallel-network extension — continue to apply unchanged. --- *This is a draft addendum.
